These Terms and Conditions ("Terms") govern your use of the Newzchain website at newzchain.com (the "Site"), operated by Newzchain, Inc. ("Newzchain," "we," "us"). By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

Paid products and services offered through app.newzchain.com are governed by a separate Terms of Service. Where the two conflict for those products, the app Terms of Service controls.

1. Content and intellectual property

All content on the Site — including articles, reports, images, data, and trademarks — is owned by Newzchain or its licensors and protected by intellectual property law. You may access and share our content for personal, non-commercial purposes with attribution. You may not reproduce, redistribute, republish, modify, or create derivative works from our content, or use it for commercial purposes, without our prior written permission.

2. Acceptable use

You agree to use the Site lawfully and not to: attempt unauthorized access to the Site or its systems; interfere with its operation or security; scrape or harvest content or data except as expressly permitted; post unlawful, infringing, or abusive material; or harass any person. We may restrict or terminate access for conduct that violates these Terms.

3. User-submitted content

If you submit content to the Site (for example, a comment or contribution), you grant Newzchain a non-exclusive, worldwide, royalty-free license to use, reproduce, adapt, publish, and display that content in connection with operating and promoting the Site. You are responsible for anything you submit and confirm you have the right to submit it. We do not routinely pre-screen user-submitted content but may remove it at our discretion.

4. Use of AI in content production

Newzchain uses AI tools to assist with research, drafting, and data extraction. Published content is subject to human editorial review, and we take responsibility for the accuracy and standards of what we publish. Factual claims in our reports and articles — funding figures, company data, and similar — are verified against named primary sources. AI supports our editorial process; it does not replace our judgment.

5. No professional advice; disclaimer of warranties

Content on the Site is for general information only and is not investment, legal, financial, or professional advice. The Site and its content are provided "as is" and "as available," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement, to the fullest extent permitted by law.

6. Limitation of liability

To the fullest extent permitted by law, Newzchain and its officers, employees, and partners will not be liable for any indirect, incidental, consequential, or special damages, or any loss of data, profits, or goodwill, arising from your use of the Site or reliance on its content.

7. Third-party links

The Site may link to third-party websites we do not control. We are not responsible for their content, policies, or practices, and are not liable for any loss arising from your use of them.

8. Changes and termination

We may modify, suspend, or discontinue the Site or any part of it at any time. We may also update these Terms; material changes will be reflected in the "Last updated" date, and your continued use after changes constitutes acceptance.

9. Indemnification

You agree to indemnify and hold harmless Newzchain and its affiliates, officers, employees, and partners from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Site, your violation of these Terms, or your infringement of any third-party right.

10. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. Any dispute arising from these Terms or your use of the Site will be resolved exclusively in the state and federal courts located in New Castle County, Delaware, and you consent to the jurisdiction of those courts.
