ITC Yoga Bar acquisition: Sproutlife now fully owned

ITC has completed its acquisition of Sproutlife Foods, the Bengaluru-based parent company of nutrition and healthy foods brand Yoga Bar. The acquisition increased ITC’s ownership from approximately 47.5% to 100%, making Sproutlife a wholly owned subsidiary effective September 28.

According to ITC’s exchange filing, the company acquired 13,445 equity shares through a secondary purchase for around Rs 645 crore. The transaction was completed entirely through cash consideration. ITC said the acquisition is in line with its strategy to strengthen its future ready portfolio in the foods segment.

Sproutlife and Yoga Bar

Sproutlife manufactures and sells food products under the Yoga Bar brand. Yoga Bar is positioned as a digital first brand with a significant presence across D2C and e-commerce channels, as well as a growing footprint in offline retail stores.

Sproutlife’s turnover more than doubled to Rs 452 crore in FY26 from Rs 200 crore in FY25. Its turnover stood at Rs 108 crore in FY24.

ITC first invested in Sproutlife in May 2023, acquiring a 39.42% stake for Rs 175 crore. It later increased its holding to around 47.5% before purchasing the remaining 52.5% stake in the latest transaction.
