GIFT City Direct Listings: What Companies Need to Check

GIFT City direct listings are being proposed as a route for companies to list shares without a traditional initial public offering. The International Financial Services Centres Authority plans to introduce the framework in the next few months.
GIFT City direct listings are still proposed
Pradeep Ramakrishnan, Executive Director at IFSCA, said at the Morningstar Investment Conference India 2026 that companies would be able to list at GIFT City without coming through a conventional IPO process. IFSCA has already consulted the market on the proposal.

Ramakrishnan described the proposed process this way: “There is no need to come in through a traditional IPO. You are automatically onboarded as a listed company, and your shares become available for trading.”
GIFT City’s financing role
The proposal sits within GIFT IFSC’s broader financing role. Almost 75% of India’s external commercial borrowings take place through GIFT City, while equity listings remain at an early stage.
