CMF India Spin-Off: Nothing’s Localisation Bet

The CMF India spin-off

Nothing is spinning off CMF, its affordable and design-led sub-brand, into a standalone company headquartered in India and majority Indian-owned. Launched in 2023, CMF will have its own local team and R&D operations, while Nothing retains a stake and continues as a partner.

The proposed transition is aimed at using India’s manufacturing incentives and local R&D capabilities to support annual production of 100 Mn units in the country in the long run. Nothing has committed over $100 Mn to the CMF joint venture. Indian shareholders will hold the controlling stake, while the precise ownership structure, specific Indian shareholders and timing of the corporate transition remain undisclosed.

What CMF does

CMF makes more affordable smartphones with a focus on design. Under the proposed standalone structure, the company will bring product development activities into India, including industrial design, software, camera processing and supplier co-engineering.

Nothing also plans to bring its engineering DNA, operating system, supplier relationships and brand engine into the Indian entity. The move is intended to build more of the product and intellectual property locally, rather than relying solely on imported parts.

Why the move matters outside India

The structure will enable Nothing to retain a strategic stake and technology licensing relationship while outsourcing the heavy capital demands of manufacturing to Indian partners. Having an Indian entity will also enable Nothing to leverage local manufacturing and policy incentives to scale exports without diluting its core premium brand identity.

For partners, the key variables are still unresolved: ownership, the timing of the transition, supply chain execution, proprietary intellectual property and sustained R&D investment. CMF will also need to achieve unit economics and localisation in a low-margin segment dominated by established global giants.
